Gwenyn Gruffydd Ltd
Effective date: 01/11/2026
Version: 1.0
1. Introduction
1.1. These Reseller Terms & Conditions (“Terms”) govern the sale and supply of products by Gwenyn Gruffydd Ltd to approved business customers purchasing goods for resale.
1.2. These Terms are intended exclusively for business-to-business transactions and do not apply to consumers purchasing goods for personal use.
1.3. By applying for a reseller account and subsequently placing an order, you confirm that you are acting in the course of business and agree to these Terms, together with any policies expressly incorporated into them.
1.4. Please read these Terms carefully before placing an order.

Throughout these Terms, “we”, “us” and “our” refer to Gwenyn Gruffydd Ltd.
“You”, “your” and “Reseller” refer to the business purchasing goods from us for resale.
2. Application of These Terms
2.1. These Terms apply to all orders placed through an approved reseller account, unless alternative arrangements have been expressly agreed in writing.
2.2. Our reseller programme is intended for businesses purchasing products for resale through their retail premises, independently operated ecommerce websites or other approved sales channels.
2.3. These Terms should be read alongside our separate Online Marketplace Resale Policy, which forms part of our reseller agreement.
2.4. Where an individually negotiated written agreement conflicts with these Terms, the individually agreed provisions will take precedence to the extent of that conflict.
2.5. Nothing in these Terms excludes or restricts any statutory rights, obligations or remedies that cannot lawfully be excluded or restricted.
3. Reseller Account Applications & Approval
3.1. All reseller accounts are subject to application and approval by Gwenyn Gruffydd Ltd.
3.2. We reserve the right to approve or decline reseller applications at our discretion, subject to applicable law.
3.3. Applicants must provide accurate and complete information about their business, including relevant contact and trading details.
3.4. We may request additional information to verify a business's identity, trading status or suitability for our reseller programme.
3.5. Once an application has been approved, the Reseller will be granted access to reseller pricing and ordering facilities through our website.
3.6. Reseller pricing is only available when logged into an approved reseller account.
3.7. Reseller accounts are provided for use by the approved business only and must not be shared with unrelated businesses or third parties.
3.8. Resellers are responsible for maintaining the security of their account and ensuring that only authorised individuals place orders.
3.9. We may review account eligibility periodically and request updated business information where reasonably necessary.
3.10. We reserve the right to suspend or withdraw reseller account access where there are reasonable grounds to suspect fraud, account misuse, persistent non-payment or a material breach of these Terms.
4. Products & Availability
4.1. We make reasonable efforts to ensure that product descriptions, photographs, specifications and other information are accurate and up to date.
4.2. Product images are provided for illustrative purposes. Minor variations in appearance, colour, texture or finish may occur, particularly with natural and handmade products.
4.3. Honey is a natural product. Its colour, flavour, consistency and crystallisation characteristics may vary according to floral sources, season and production batch.
4.4. Beeswax candles may exhibit natural variations in colour and finish.
4.5. Product availability may vary throughout the year, particularly for seasonal honey varieties and handmade products.
4.6. We reserve the right to amend or discontinue products and product ranges.
4.7. If a product becomes unavailable after an order has been placed, we will contact the Reseller to discuss an alternative product, revised delivery date or refund for the unavailable goods.
4.8. We will not substitute products without the Reseller's agreement.
4.9. Product specifications may be updated from time to time. Material changes affecting an accepted order will be communicated before the affected goods are supplied.
5. Minimum Orders & Case Quantities
5.1. The minimum order quantity for honey is one case.
5.2. The number of jars constituting a case varies according to the jar sizes selected and the applicable packing configuration.
5.3. We prefer honey to be ordered in complete case quantities wherever possible, as this helps us maintain an efficient picking, packing and dispatch process.
5.4. However, we recognise that retailers may wish to offer their customers a variety of honey products. We therefore provide flexible mixed-case ordering.
5.5. Different honey varieties and jar sizes may be combined within the same case, subject to suitable packaging and case capacity.
5.6. Mixed cases must meet the applicable minimum case quantity or packing requirements. Our team can advise on suitable combinations where required.
5.7. Minimum order quantities for other product ranges, where applicable, will be displayed on our website or communicated when ordering.
5.8. We reserve the right to review minimum order quantities and case configurations, providing reasonable notice where practicable.
6. Reseller Pricing
6.1. Approved resellers receive access to reseller pricing through their online account.
6.2. Reseller prices are commercially confidential and must not be disclosed to unauthorised third parties.
6.3. Prices may change throughout the year to reflect factors including production costs, raw material costs, product availability, transport costs and market conditions.
6.4. Although we aim to provide advance notice of significant price changes, prices may occasionally change at short notice or without prior notice.
6.5. The price applicable to an accepted order will normally be the price confirmed when that order is accepted.
6.6. If an obvious pricing error is identified before an order is accepted, we may contact the Reseller to confirm the correct price. The Reseller may then proceed at the corrected price or cancel the affected items.
6.7. Prices are exclusive of VAT unless otherwise stated.
6.8. VAT will be charged at the applicable rate where required by law.
6.9. Delivery charges are calculated separately unless an order qualifies for free delivery.
6.10. Any recommended retail prices we provide are recommendations only. Resellers remain free to determine their own retail selling prices.
7. Placing Orders
7.1. Orders should be placed through the Reseller's approved online account unless alternative arrangements have been agreed.
7.2. By placing an order, the Reseller confirms that the information provided is accurate and that they are authorised to purchase on behalf of the business.
7.3. An order submitted through our website constitutes an offer to purchase the selected goods.
7.4. An automated order acknowledgement confirms receipt of the order but does not necessarily constitute acceptance.
7.5. An order is accepted when we issue an order acceptance or dispatch confirmation, or otherwise expressly confirm acceptance.
7.6. We reserve the right to decline an order where:
-
Products are unavailable.
-
Payment cannot be authorised.
-
Account or delivery information is incorrect or incomplete.
-
We have reasonable grounds to suspect fraudulent activity.
-
The order would breach applicable law or an existing contractual restriction.
7.7. Where payment has been received for an order we cannot accept, we will arrange an appropriate refund.
7.8. Requests to amend an order should be made as soon as possible. Amendments cannot be guaranteed once preparation or production has commenced.
8. Payment Terms
8.1. All new reseller accounts operate on a payment-before-dispatch basis.
8.2. Orders must be paid in full before goods are dispatched or released for collection, unless alternative arrangements have been agreed in writing.
8.3. Established reseller customers may be considered for alternative payment arrangements or credit facilities.
8.4. Credit facilities are offered at our discretion and may be subject to account history, credit checks and individually agreed terms.
8.5. Approval for credit facilities will be confirmed in writing, including the applicable payment period and any credit limit.
8.6. Where credit terms have been approved, invoices must be paid in full by the agreed due date.
8.7. We reserve the right to suspend further deliveries or withdraw credit facilities where invoices remain overdue.
8.8. For qualifying overdue commercial debts, we reserve the right to claim statutory interest and applicable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998 and associated legislation.
8.9. Any invoice dispute should be raised promptly, with details of the disputed amount and the reason for the dispute.
8.10. Undisputed amounts remain payable in accordance with the agreed terms.
9. Delivery & Collection Options
We offer several delivery and collection arrangements to approved resellers.
9.1. Local Delivery
9.1.1. Selected local businesses may qualify for free local delivery.
9.1.2. Eligibility for free local delivery is determined by Gwenyn Gruffydd Ltd and is subject to the location of the business and its delivery address.
9.1.3. Eligible reseller accounts will have access to the Local Delivery option at checkout.
9.1.4. Approved local businesses will receive delivery free of charge.
9.1.5. Local delivery dates and arrangements may be agreed individually.
9.1.6. We reserve the right to review local delivery eligibility where a business changes its delivery address or circumstances.
9.2. Store Collection
9.2.1. Store collection is available free of charge.
9.2.2. Orders may be collected from:
Gwenyn Gruffydd Ltd
Bryn Bach, Dryslwyn
Carmarthenshire, SA32 8SE
9.2.3. Resellers will be notified when their order is ready for collection.
9.2.4. Please wait for confirmation before travelling to collect your order.
9.2.5. Collections are subject to our published opening hours and any individually agreed arrangements.
9.2.6. Goods must be collected by the Reseller or an authorised representative.
9.3. Standard Shipping
9.3.1. Standard shipping is available to eligible mainland UK delivery addresses at a flat rate of £10 excluding VAT, plus VAT at the applicable rate.
9.3.2. Orders with a qualifying goods value of £200 or more, excluding VAT, qualify for free standard shipping.
9.3.3. The free-shipping threshold is calculated on the value of qualifying goods after any applicable discounts, but before VAT and delivery charges.
9.3.4. Deliveries to the Scottish Highlands, islands and Northern Ireland may incur additional delivery surcharges.
9.3.5. Where additional delivery charges apply, these will be displayed at checkout or communicated to the Reseller for approval before the order is accepted.
9.3.6. Free standard shipping does not automatically include surcharges for destinations outside our standard delivery area.
9.3.7. Some destinations, products or unusually large orders may require alternative delivery arrangements or a separate quotation.
9.3.8. Applicable delivery charges and arrangements will be confirmed before the order is accepted.
10. Delivery Times & Lead Times
10.1. Please allow approximately 5–7 working days for your order to be prepared and delivered.
10.2. Delivery times are estimates rather than guaranteed delivery dates unless expressly agreed otherwise.
10.3. During particularly busy periods, including seasonal peaks, preparation and delivery may take longer.
10.4. Our beeswax candles are generally made to order and may require additional production time.
10.5. We recommend placing orders for candles and seasonal products well in advance of anticipated retail demand.
10.6. Where an order contains products with different lead times, we may contact the Reseller to discuss whether the order should be dispatched together or in separate deliveries.
10.7. Once dispatched, courier deliveries are generally sent using a tracked next-working-day service, subject to destination and courier availability.
10.8. A next-working-day courier service refers to the expected transit time after dispatch, not the time between placing an order and receiving it.
10.9. We will make reasonable efforts to communicate significant delays.
10.10. If a substantial delay occurs, we will discuss appropriate options with the Reseller, including a revised delivery date or cancellation of affected undelivered goods.
11. Delivery Responsibilities & Transfer of Risk
11.1. Resellers must provide accurate delivery information, including a complete delivery address and suitable contact details.
11.2. Resellers are responsible for ensuring that someone is available to receive deliveries where required.
11.3. Where delivery fails because of incorrect information or circumstances within the Reseller's control, reasonable additional delivery charges may apply.
11.4. Risk of loss of or damage to goods passes to the Reseller when the goods are delivered to the agreed delivery address or collected by the Reseller or their authorised representative.
11.5. Where the Reseller independently arranges collection by a third-party carrier not engaged by us, the point at which risk transfers will be agreed before collection.
11.6. Ownership of goods is governed separately by Section 17.
11.7. Nothing in this section removes our responsibility for loss or damage occurring before risk has passed.
12. Damaged Goods
12.1. We take care to pack orders securely, but damage can occasionally occur during transit.
12.2. Resellers should inspect deliveries promptly and notify us of any visible damage, ideally within 48 hours of receipt.
12.3. Where the outer packaging appears damaged, please photograph it before opening the parcel.
12.4. We may request photographs showing:
-
The external packaging.
-
The internal packaging.
-
The affected products.
-
Any visible damage or relevant delivery labels.
12.5. Please retain all packaging until the matter has been investigated, as it may be required to support a courier claim.
12.6. Damage should be reported to orders@gwenyngruffydd.co.uk, quoting the order number and providing relevant details.
12.7. We will investigate reported damage and arrange an appropriate remedy where required by the contract or applicable law. This may include replacement goods, a refund, credit or another agreed resolution.
12.8. The 48-hour notification period is intended to support prompt investigation and courier claims. It does not automatically invalidate a claim concerning damage or defects that could not reasonably have been discovered within that period.
13. Lost or Delayed Deliveries
13.1. Courier deliveries are generally sent using a tracked service.
13.2. Tracking information and delivery notifications may be issued directly by the courier.
13.3. If an order has not arrived within 48 hours of its expected delivery date, please contact us so that we can investigate.
13.4. We will make reasonable efforts to investigate the delivery status with the courier and keep the Reseller informed.
13.5. Where goods are confirmed lost before risk has passed to the Reseller, we will arrange an appropriate replacement or refund.
13.6. We are not responsible for delays caused by circumstances beyond our reasonable control, subject to our obligations under these Terms and applicable law.
14. Missing or Incorrect Items
14.1. Orders are carefully checked and packed before dispatch to minimise errors.
14.2. If an item is missing or incorrect, please notify us as soon as reasonably possible.
14.3. Contact orders@gwenyngruffydd.co.uk, quoting your order number and identifying the affected products.
14.4. We may request photographs or additional information to assist our investigation.
14.5. Where an error is confirmed, we will arrange an appropriate resolution, which may include supplying the missing or correct goods, issuing a refund or providing an agreed credit.
14.6. Where incorrect goods need to be returned because of our error, we will arrange collection or reimburse reasonable return costs.
15. Order Cancellations
15.1. Reseller purchases are business-to-business transactions and do not automatically benefit from the statutory cancellation rights applicable to qualifying consumer distance sales.
15.2. Requests to cancel an order should be made as soon as possible.
15.3. An order may be withdrawn before acceptance.
15.4. Once an order has been accepted, cancellation or amendment is subject to our agreement and any applicable contractual or legal obligations.
15.5. Made-to-order products, including beeswax candles produced specifically for an order, cannot ordinarily be cancelled once production has commenced, unless otherwise agreed or required by law.
15.6. Where we agree to a discretionary cancellation after work has commenced, we may seek to recover reasonable, evidenced costs incurred, where legally and contractually permitted.
15.7. Nothing in this section removes remedies available where we fail to fulfil our contractual obligations.
16. Returns & Refunds
16.1. We do not accept returns of correctly supplied, non-defective goods simply because they are no longer required, have been ordered incorrectly or have not sold.
16.2. Returns will be considered where goods:
-
Are faulty or defective.
-
Have been damaged before delivery.
-
Have been supplied incorrectly.
-
Otherwise fail to meet our contractual obligations.
16.3. Missing items are handled under Section 14.
16.4. If goods appear to be faulty, damaged or incorrectly supplied, please contact us as soon as reasonably possible.
16.5. Return enquiries should be sent to orders@gwenyngruffydd.co.uk, quoting the order number and providing details of the issue.
16.6. We may request photographs or other reasonable evidence to assist our investigation.
16.7. Please contact us before returning goods so that we can provide suitable return instructions. This requirement does not remove any legal remedy that cannot lawfully be excluded.
16.8. Where goods are confirmed to be faulty, damaged before delivery or supplied incorrectly, we will provide an appropriate remedy in accordance with the contract and applicable law.
16.9. Depending on the circumstances, this may include replacement goods, a refund or another agreed resolution.
16.10. Where a return is required because of our error or breach of contract, we will arrange collection or reimburse reasonable return costs.
16.11. Nothing in this section excludes or restricts statutory rights or remedies that cannot lawfully be excluded.
17. Ownership of Goods
17.1. Ownership of goods remains with Gwenyn Gruffydd Ltd until we have received payment in full for those goods.
17.2. Until ownership passes, the Reseller must take reasonable care of the goods and keep them identifiable where reasonably practicable.
17.3. Subject to the Reseller remaining compliant with these Terms, goods may be resold in the ordinary course of business before ownership passes.
17.4. Where payment remains overdue, we reserve the right to pursue lawful remedies concerning unpaid goods.
17.5. These provisions do not affect the transfer of risk described in Section 11.
18. Product Quality, Storage & Shelf Life
18.1. We take reasonable care to ensure that products comply with applicable requirements when supplied.
18.2. Resellers are responsible for storing, handling and displaying products appropriately after delivery.
18.3. Honey should be stored in suitable conditions, away from excessive heat and direct sunlight.
18.4. Crystallisation is a natural characteristic of honey and does not, by itself, indicate that the product is defective.
18.5. Beeswax candles should be stored away from excessive heat and conditions likely to cause distortion or damage.
18.6. Skincare products must be stored and handled in accordance with their labels and any supplied instructions.
18.7. Resellers must observe applicable best-before dates, durability information, batch identification and storage instructions.
18.8. Resellers must not sell products that are unsafe, materially deteriorated or otherwise unsuitable for sale.
18.9. Products must not be altered, repackaged or relabelled without our prior written agreement where such activity affects our branding, product information or contractual arrangements.
18.10. Any agreed repackaging or relabelling must comply with applicable law.
19. Product Labelling & Reseller Responsibilities
19.1. Resellers are responsible for complying with the laws applicable to their own retail activities.
19.2. Products must be sold with legally required labelling, safety information and instructions intact.
19.3. Resellers must not make inaccurate or misleading claims about our products.
19.4. Any claims concerning product origin, ingredients, health benefits or other characteristics must be accurate and supported by appropriate evidence.
19.5. Resellers must not remove or obscure batch codes, traceability information or legally required product details.
19.6. Where products are repackaged, relabelled, imported, exported or sold under another brand, additional legal responsibilities may arise.
19.7. Such activities require our prior written agreement where they involve our products or branding.
19.8. Resellers are responsible for ensuring that their own marketing and retail practices comply with applicable law.
20. Product Safety, Traceability & Recalls
20.1. Product safety is a priority for Gwenyn Gruffydd Ltd.
20.2. Resellers must retain appropriate purchase and traceability records, including relevant batch information where supplied, in accordance with applicable legal requirements.
20.3. Resellers must promptly inform us of any suspected product safety issue, contamination, serious defect or adverse incident involving our products.
20.4. Where a product withdrawal or recall is required, we will provide relevant information and instructions.
20.5. Resellers must cooperate promptly with reasonable withdrawal or recall instructions and comply with their own legal obligations.
20.6. This may include identifying affected stock, removing products from sale, retaining relevant records and communicating with customers or regulatory authorities where required.
20.7. Resellers must not continue selling products they know or reasonably suspect to be unsafe.
20.8. Nothing in these Terms limits either party's statutory product safety, traceability, notification or recall responsibilities.
21. Resale Channels & Online Marketplace Restrictions
21.1. Approved resellers may sell Gwenyn Gruffydd-branded products through their physical retail premises and independently operated ecommerce websites.
21.2. Resellers must comply with our separate Online Marketplace Resale Policy, which forms part of these Terms.
21.3. Unless prior written authorisation has been granted, resellers must not offer Gwenyn Gruffydd-branded products for sale through third-party online marketplaces, including Amazon Marketplace, eBay, Etsy, OnBuy and TikTok Shop.
21.4. This restriction applies to products supplied under the Gwenyn Gruffydd brand. It does not automatically extend to products manufactured and branded by third-party suppliers.
21.5. The restriction does not prevent resellers from operating their own ecommerce websites or advertising products through legitimate online channels.
21.6. Resellers remain free to determine their own retail selling prices.
21.7. Any recommended retail prices supplied by Gwenyn Gruffydd Ltd are non-binding recommendations.
21.8. Where we reasonably believe a Reseller has breached our Online Marketplace Resale Policy, we may investigate the matter and request appropriate corrective action.
21.9. A material breach may result in suspension or termination of reseller account privileges, subject to applicable law and the relevant contractual arrangements.
21.10. Nothing in this section is intended to restrict competition or online sales in a manner prohibited by applicable competition law.
22. Brand Representation & Intellectual Property
22.1. Approval as a reseller does not grant exclusive distribution rights.
22.2. Resellers must not represent themselves as employees, agents or official representatives of Gwenyn Gruffydd Ltd.
22.3. Our business name, logos, photographs, website content, product descriptions and other intellectual property remain the property of Gwenyn Gruffydd Ltd or the relevant rights holder.
22.4. Reseller account approval does not transfer ownership of any intellectual property.
22.5. Resellers may use product photographs and promotional materials supplied or expressly authorised by us for the purpose of promoting and reselling our products.
22.6. Such materials must not be altered in a way that misrepresents the products or our business.
22.7. Resellers must not use our branding in a way that suggests an exclusive partnership or official company status unless expressly authorised.
22.8. We may withdraw permission to use our marketing materials where they are used improperly.
22.9. Resellers must not register domain names, social media accounts or other identifiers that misleadingly suggest ownership of, or official affiliation with, Gwenyn Gruffydd Ltd.
23. Customer Service & Complaints
23.1. Resellers are responsible for providing appropriate customer service to their own customers.
23.2. Where an end customer raises a concern about one of our products, the Reseller should investigate the matter promptly and comply with their own legal obligations.
23.3. Where a complaint concerns a potential manufacturing defect, product safety issue or other matter requiring our involvement, the Reseller should contact us with the relevant information.
23.4. We will provide reasonable assistance in investigating product-related complaints.
23.5. Resellers must not make commitments on our behalf or represent that we have accepted liability without our prior agreement.
23.6. Nothing in this section restricts any rights or obligations arising under applicable product safety or consumer protection legislation.
24. Liability
24.1. Nothing in these Terms excludes or restricts liability for:
-
Death or personal injury caused by negligence.
-
Fraud or fraudulent misrepresentation.
-
Liability that cannot lawfully be excluded or restricted.
24.2. We remain responsible for supplying goods in accordance with our contractual obligations and applicable law.
24.3. Subject to Section 24.1 and applicable law, neither party will be liable to the other for indirect or consequential losses to the extent that such liability may lawfully and reasonably be excluded.
24.4. We will not be responsible for losses arising solely from a Reseller's improper storage, handling, alteration or misuse of products, to the extent that those losses were not caused or contributed to by our breach of duty.
24.5. Nothing in these Terms excludes or restricts liability in a manner prohibited by the Sale of Goods Act 1979, the Unfair Contract Terms Act 1977 or other applicable legislation.
24.6. Any limitation or exclusion of liability will apply only to the extent that it is enforceable under applicable law.
25. Events Beyond Our Reasonable Control
25.1. We are not responsible for delays or failures caused by circumstances beyond our reasonable control, including:
-
Severe weather or natural disasters.
-
Transport or courier disruption.
-
Supplier or raw material shortages.
-
Industrial action.
-
Major equipment failure.
-
Government restrictions.
-
Other exceptional events outside our reasonable control.
25.2. Where such circumstances affect an order, we will make reasonable efforts to notify the Reseller and minimise disruption.
25.3. If performance is substantially delayed, we will discuss reasonable alternatives, including revised delivery arrangements or cancellation of affected undelivered goods.
25.4. This section does not exclude any liability that cannot lawfully be excluded.
26. Account Suspension & Termination
26.1. We may suspend or terminate a reseller account where there is:
-
A material breach of these Terms.
-
Persistent non-payment.
-
Fraudulent activity.
-
Serious misuse of account privileges.
-
A material breach of our Online Marketplace Resale Policy.
-
Another reasonable commercial or legal ground justifying suspension or termination.
26.2. Where practicable, we will provide notice and an opportunity to resolve the issue before terminating an account.
26.3. Immediate suspension may be necessary where there is suspected fraud, a serious product safety concern or another significant risk.
26.4. Termination of an account does not remove obligations relating to outstanding payments or orders already accepted, unless otherwise agreed.
26.5. Resellers may request account closure by contacting us.
26.6. Following termination, the Reseller must cease representing itself as an authorised Gwenyn Gruffydd reseller.
26.7. Termination does not, by itself, require the Reseller to dispose of lawfully purchased stock. Any continuing contractual restrictions remain subject to applicable law.
27. Confidentiality
27.1. Resellers may receive access to confidential commercial information, including reseller pricing, discounts and other non-public business information.
27.2. Resellers must not disclose such information to unauthorised third parties except where required by law or necessary for legitimate business administration.
27.3. This obligation does not apply to information that is already lawfully public or independently obtained without breach of confidentiality.
27.4. Nothing in this section prevents disclosures required by law, regulatory authorities or legal proceedings.
28. Data Protection & Privacy
28.1. We process business and personal information in accordance with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.
28.2. Information provided during account applications and ordering may be used for:
-
Account administration.
-
Order processing and fulfilment.
-
Payment processing.
-
Customer service.
-
Fraud prevention.
-
Compliance with legal obligations.
-
Other lawful business purposes.
28.3. Further information about how we process personal data is available in our website Privacy Policy.
28.4. Marketing communications will be sent in accordance with applicable data protection and electronic marketing requirements.
28.5. Where consent is required for marketing, it will be requested separately from acceptance of these Terms.
28.6. Recipients may unsubscribe from marketing communications using the relevant unsubscribe mechanism or by contacting us.
29. Changes to These Terms
29.1. We may review and update these Terms from time to time.
29.2. The current version will be published on our website, together with its effective date.
29.3. Updated Terms will generally apply to orders placed after the revised Terms take effect.
29.4. Changes will not retrospectively alter an existing accepted order unless agreed by both parties or required by law.
29.5. Where significant changes affect ongoing reseller arrangements, we will make reasonable efforts to communicate them.
29.6. Resellers should review the current Terms periodically.
30. General Provisions
30.1. If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
30.2. A failure or delay by either party to exercise a contractual right does not automatically constitute a waiver of that right.
30.3. Nothing in these Terms creates a partnership, employment relationship, joint venture or agency relationship between Gwenyn Gruffydd Ltd and the Reseller.
30.4. Neither party may represent that it has authority to enter into commitments on behalf of the other without express authorisation.
30.5. These Terms, together with any expressly incorporated policies and individually agreed written arrangements, form the contractual framework governing reseller orders.
31. Governing Law & Jurisdiction
31.1. These Terms and any dispute arising from them are governed by the laws of England and Wales.
31.2. Subject to any mandatory legal requirements, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.
